Terms of Service

1. Acceptance of Terms

Welcome to ShrutAura Global ("ShrutAura", "we", "us", or "our"). By accessing or using our website, subscribing to our services, or executing a Statement of Work (SOW), you ("Client" or "User") agree to be bound by these Terms of Service. If you do not agree with these terms, please do not access or use our services.

2. Scope of Services

ShrutAura Global provides professional financial and technology solutions, including but not limited to:

  • Outsourced Accounting & Financial Reporting
  • End-to-End Bookkeeping & Month-End Reconciliations
  • Fractional CFO Advisory & Financial Modeling
  • Payroll Processing & HR Compliance Support
  • Finance Process Automation & Custom AI Integration

Specific deliverables, timelines, fee structures, and service level agreements (SLAs) will be defined in individual client Master Service Agreements (MSAs) or Statements of Work (SOWs).

3. Client Responsibilities & Data Provision

To enable ShrutAura Global to deliver timely and accurate services, the Client agrees to:

  • Provide timely access to necessary accounting software, banking records, receipts, and documentation.
  • Ensure the accuracy, completeness, and legitimacy of all data provided.
  • Designate a primary point of contact for operational approvals and communications.

4. Confidentiality & Non-Disclosure

Both parties agree to treat all financial, strategic, commercial, and technical information shared during the engagement as strictly confidential. Neither party shall disclose confidential information to third parties without prior written consent, except as required by law.

5. Intellectual Property Rights

Client Work Product: The Client retains all rights and ownership over their proprietary financial data, reports, and company assets.

ShrutAura Technology: ShrutAura Global retains full ownership of its proprietary methodologies, automation scripts, financial models, custom software tools, and templates developed by ShrutAura.

6. Billing, Retainers & Payment Terms

Fees for services are billed as outlined in your SOW (monthly retainer, hourly rate, or milestone-based project fee). Invoices are payable within the net payment terms specified in your agreement. Late payments may be subject to standard interest charges.

7. Limitation of Liability

To the maximum extent permitted by law, ShrutAura Global shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the performance of services. Our maximum aggregate liability shall not exceed the fees paid by the Client in the three (3) months preceding the claim.

8. Termination of Agreement

Either party may terminate a service agreement by providing written notice as specified in the applicable SOW (typically 30 days' advance notice). Upon termination, ShrutAura will assist in transitioning accounting files and data back to the Client.
